Mr. Baddour has more than 30 years of experience representing businesses, financial institutions and health care providers in business and real estate transactions and business planning, including the structuring and formation of corporations, partnerships and limited liability companies, mergers and acquisitions, joint ventures and other entities, acquisition and development of real property, office and facilities leases, corporate financings, commercial loans, loan restructures, computer software development and licensing, and healthcare provider transactions such as physician employment agreements and research, joint ventures and other contracts between physician practices and hospitals and other health care companies. His clients have included start-up businesses, investors, privately held and public companies, lenders, borrowers, landlords, tenants, and physician practices.

Mr. Baddour's representative transactions include:
- Acquisitions of businesses, including the entire business operations of sellers and the business operations of divisions of sellers.
- Representing borrowers in commercial loans and privately placed note financings, including a Cdn $80,000,000 credit facility for a Canadian affiliate of a U.S. corporation, a part of which was subsequently refinanced with privately placed notes.
- Representing lenders in working out and restructuring asset-based loans.
- Physician practice transactions such as organization of professional associations and limited liability partnerships, physician employment agreements, contracts with physician practice management companies, equipment and facility leases, joint ventures, and research agreements.
- Structuring and organizing corporations, limited partnerships and limited liability companies to operate various businesses or for investment purposes, including a real estate service company, a physician practice services company and real estate investment partnerships.
- Private offerings for companies seeking initial or subsequent capital.
- Real property transactions, including office and facility leases for tenants, acquisitions of office buildings and facilities primarily for use by purchasers, and purchase of farm and ranch land for operation, recreation or investment.
- Representing founders in structuring a technology company and in negotiations with venture capital companies for initial financing.
- Structuring and drafting executive compensation plans, including stock option plans, stock appreciation rights plans and deferred compensation plans.
- Assisting clients with protection of intellectual property, including preparation of confidentiality agreements and other contracts and policies for trade secret protection.
